1. Agreement to Terms

These Terms and Conditions (“Terms”) constitute a legally binding agreement between you (“you” or “Client”) and Fortify Health Coaching LLC, doing business as The Fortified Mindset (“we,” “our,” “us,” or “Company”), governing your access to and use of our website at fortifyhealth.co (including all subdomains and related pages), our coaching services, workshops, digital content, podcast, video content, and any other services or products we offer (collectively, the “Services”).

By accessing our website, submitting a form, booking a session, purchasing a service, or otherwise engaging with us, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree to these Terms, you must not use our Services.

2. Description of Services

The Fortified Mindset provides professional life and mindset coaching services designed to help high-performing leaders and business owners strengthen their inner narrative through the power of words. Our Services include, but are not limited to:

- One-on-one (1:1) coaching sessions

- Group coaching programs

- Workshops and live events (in-person and virtual)

- Digital resources, guides, and downloadable materials (including the “16 Words” guide)

- Podcast content (“I Heard You When You Said”)

- Video content and recordings

- Email newsletters and educational communications

3. Coaching Disclaimer

Our coaching services are designed to help you identify and replace limiting language patterns, build mental resilience, and develop actionable strategies for personal and professional growth. Our coaches are trained professionals who use evidence-informed methodologies.

Coaching is not therapy, counseling, or medical treatment. Our Services are not a substitute for professional mental health care, medical advice, psychological counseling, or psychiatric treatment. We do not diagnose, treat, or provide therapy for mental health conditions.

If you are experiencing a mental health crisis, suicidal thoughts, or any medical emergency, please contact a licensed mental health professional, call 911, or contact the 988 Suicide and Crisis Lifeline by calling or texting 988.

The results of coaching vary by individual. We do not guarantee specific outcomes, results, or transformations. Your progress depends on many factors, including your commitment, effort, and individual circumstances.

4. Eligibility

Our Services are intended for individuals who are at least 18 years of age. By using our Services, you represent and warrant that you are at least 18 years old and have the legal capacity to enter into these Terms. If you are under 18, you may not use our Services without the consent and supervision of a parent or legal guardian.

5. Booking, Scheduling, and Attendance

5.1 Discovery Calls

We offer complimentary discovery calls to determine whether our coaching services are a good fit. Discovery calls are consultations and do not create a coaching relationship or obligate either party to proceed.

5.2 Coaching Sessions

Once you enroll in a coaching program, sessions will be scheduled based on mutual availability. You are responsible for attending scheduled sessions on time. If you need to reschedule, please provide at least 24 hours’ notice.

5.3 Cancellations and No-Shows

Sessions canceled with less than 24 hours’ notice or missed without notification (“no-shows”) may be forfeited and will not be rescheduled or refunded. We reserve the right to modify this policy at our discretion and will communicate any changes to you in advance.

6. Workshops and Events

Registration for workshops and events is confirmed upon receipt of payment. Workshop and event details (including dates, times, location, and format) will be communicated at the time of registration.

We reserve the right to modify workshop content, schedules, speakers, or format, or to cancel a workshop or event at any time. In the event of a cancellation by us, registered participants will receive a full refund or the option to transfer to a rescheduled event.

Workshops and events may be recorded for internal use, marketing purposes, or future distribution. By attending, you consent to being photographed, recorded (audio and video), and to the use of such recordings unless you notify us in writing prior to the event.

7. Payments and Refunds

7.1 Fees

All fees for Services are communicated at the time of booking or registration. Prices are listed in U.S. dollars and are subject to change. Any price changes will not affect previously confirmed bookings.

7.2 Payment Processing

All payments are processed through our third-party payment processor. By submitting a payment, you agree to the payment processor’s terms of service. We do not store your credit card or banking information.

7.3 Refund Policy

Due to the personalized nature of our coaching services, all sales are generally final. Refund requests will be considered on a case-by-case basis at our sole discretion. To request a refund, please contact us within 14 days of your purchase at the contact information provided below.

Digital products and downloadable resources are non-refundable once accessed or downloaded.

8. Intellectual Property

All content on our website and in our Services — including but not limited to text, graphics, logos, images, audio, video, podcast episodes, worksheets, guides, frameworks, methodologies, course materials, and software — is the property of Fortify Health Coaching LLC or its content creators and is protected by United States and international copyright, trademark, and other intellectual property laws.

You may not reproduce, distribute, modify, create derivative works from, publicly display, publicly perform, republish, download, store, or transmit any content from our website or Services without our prior written consent, except for your own personal, non-commercial use.

The Fortified Mindset name, logo, and all related names, logos, product and service names, designs, and slogans are trademarks of Fortify Health Coaching LLC. You may not use these marks without our prior written permission.

9. User Content and Conduct

By submitting any content to us — including testimonials, reviews, feedback, questions, or communications — you grant us a non-exclusive, royalty-free, perpetual, irrevocable, and fully sublicensable right to use, reproduce, modify, adapt, publish, and display such content in connection with our Services and marketing, unless you request otherwise in writing.

- You agree not to use our website or Services to:

- Violate any applicable federal, state, local, or international law or regulation

- Transmit any advertising, promotional material, spam, or other form of solicitation

- Impersonate or attempt to impersonate the Company, a Company employee, another user, or any other person or entity

- Engage in any conduct that restricts or inhibits anyone’s use or enjoyment of the Services

- Upload or transmit viruses, malware, or any other harmful technology

- Attempt to gain unauthorized access to any portion of the website or any other systems or networks

10. Confidentiality

We take the privacy of our coaching relationships seriously. Information shared during coaching sessions is treated as confidential and will not be disclosed to third parties without your consent, except as required by law (for example, if there is a credible threat of harm to yourself or others, or as required by a court order).

You acknowledge that group coaching sessions and workshops involve other participants, and while we encourage confidentiality among participants, we cannot guarantee that other participants will maintain confidentiality.

11. Podcast and Video Content

Our podcast (“I Heard You When You Said”) and any video content we produce are provided for informational and educational purposes only. The views and opinions expressed in our podcast and video content are those of the speakers and do not constitute professional advice.

You may share links to our podcast episodes and videos but may not download, re-upload, redistribute, or create derivative works from our audio or video content without our prior written consent.

If you are invited to appear as a guest on our podcast or in video content, separate terms regarding recording rights, usage, and distribution may apply and will be communicated to you prior to recording.

12. Third-Party Links and Affiliate Relationships

Our website and content may contain links to third-party websites, products, or services, including affiliate partner websites. These links are provided for your convenience and do not signify our endorsement of such third-party websites or their content.

We may earn a commission or referral fee from purchases you make through affiliate links on our website. This does not affect the price you pay. We only recommend products or services that we believe may be of value to our audience.

We are not responsible for the content, accuracy, privacy practices, or availability of third-party websites. Your interactions with third-party websites are solely between you and the third party.

13. Disclaimer of Warranties

OUR SERVICES, WEBSITE, AND ALL CONTENT ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS, WITHOUT ANY WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ACCURACY.

We do not warrant that our website will be uninterrupted, error-free, secure, or free of viruses or other harmful components. We do not warrant that the results obtained from the use of our Services will meet your expectations or achieve any particular outcome.

14. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, FORTIFY HEALTH COACHING LLC, ITS OWNERS, OFFICERS, DIRECTORS, EMPLOYEES, COACHES, AGENTS, AND AFFILIATES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATED TO YOUR USE OF OR INABILITY TO USE OUR SERVICES, WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), OR ANY OTHER LEGAL THEORY.

IN NO EVENT SHALL OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR OUR SERVICES EXCEED THE TOTAL AMOUNT YOU HAVE PAID TO US IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF CERTAIN DAMAGES. IF THESE LAWS APPLY TO YOU, SOME OR ALL OF THE ABOVE LIMITATIONS MAY NOT APPLY, AND YOU MAY HAVE ADDITIONAL RIGHTS.

15. Indemnification

You agree to defend, indemnify, and hold harmless Fortify Health Coaching LLC, its owners, officers, directors, employees, coaches, agents, and affiliates from and against any and all claims, damages, obligations, losses, liabilities, costs, and expenses (including reasonable attorney’s fees) arising from: (a) your use of or access to our Services; (b) your violation of these Terms; (c) your violation of any third-party right, including any intellectual property or privacy right; or (d) any claim that your actions caused damage to a third party.

16. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the State of Texas, without regard to its conflict-of-law principles.

Any dispute, claim, or controversy arising out of or relating to these Terms or our Services shall first be resolved through good-faith negotiations between the parties. If the dispute cannot be resolved through negotiation within thirty (30) days, either party may pursue resolution through binding arbitration administered in Collin County, Texas, in accordance with the rules of the American Arbitration Association.

You agree that any dispute resolution proceedings will be conducted on an individual basis and not in a class, consolidated, or representative action. You waive any right to participate in a class action lawsuit or class-wide arbitration against Fortify Health Coaching LLC.

17. Termination

We reserve the right to suspend or terminate your access to our Services at any time, with or without cause and with or without notice, if we believe you have violated these Terms or if continuation of Services is no longer feasible.

You may terminate your coaching engagement at any time by providing written notice to us. Termination does not entitle you to a refund of any fees already paid unless otherwise agreed upon in writing.

Upon termination, all provisions of these Terms which by their nature should survive (including, without limitation, intellectual property, disclaimer of warranties, limitation of liability, indemnification, and governing law) shall continue in full force and effect.

18. Modifications to Terms

We reserve the right to modify these Terms at any time at our sole discretion. When we make material changes, we will update the “Effective Date” at the top of this page. Your continued use of our Services after any changes constitutes your acceptance of the revised Terms. We encourage you to review these Terms periodically.

19. Severability

If any provision of these Terms is held to be invalid, illegal, or unenforceable by a court of competent jurisdiction, such provision shall be modified to the minimum extent necessary to make it valid and enforceable, or if modification is not possible, shall be severed from these Terms. The invalidity of any provision shall not affect the validity or enforceability of the remaining provisions.

20. Entire Agreement

These Terms, together with our Privacy Policy and any other agreements or policies referenced herein, constitute the entire agreement between you and Fortify Health Coaching LLC regarding your use of our Services and supersede all prior and contemporaneous agreements, communications, and proposals, whether oral or written, between you and us.
